Terms of Use
1. Agreement
By accessing or using the server rental services provided by Chipverse.ai ("we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Use. If you do not agree to these terms, do not use our services.
2. Service Description
We provide dedicated server rental services on a weekly or monthly basis. You receive full administrative access and control over your rented server for the duration of your rental period.
3. Client Responsibilities
3.1 Data Management
- You are solely responsible for all data stored on your rented server
- You must implement and maintain your own backup solutions
- We do not provide backup services or data recovery
3.2 Server Administration
- You are responsible for all configuration, security, and maintenance of your server environment
- You must ensure your server is properly secured against unauthorized access
- You are responsible for all software installations and updates
- You may not attempt to modify, overclock, or otherwise operate the hardware outside its standard configuration, or take any action that risks physical damage to the hardware
3.3 Acceptable Use
You agree NOT to use the rented server for:
- Illegal activities or content that violates applicable laws
- Distributing malware, viruses, or malicious code
- Launching attacks on other systems or networks (DDoS, hacking attempts, etc.)
- Hosting or distributing child exploitation material
- Spam or unsolicited bulk email distribution
- Activities that infringe on the intellectual property rights of others
- Any activity that disrupts or interferes with our infrastructure or other clients' services
4. Account and Billing
4.1 Payment Terms
- Payment is due at the beginning of each rental period (weekly or monthly)
- Payment methods (cash, bank transfer, or other methods) will be provided in your rental contract email
- Failure to pay on time may result in service suspension or termination
4.2 Rental Periods
- Minimum rental period: one week
- Weekly rentals: Billed every 7 days
- Monthly rentals: One month = exactly 30 days of service. Rent on Feb 15, your period runs through Mar 17. You always get the full 30 days you paid for
- 3-month commitment: 20% discount off the monthly rate, prepaid quarterly
- All prices include 14% VAT
- No partial refunds for unused portions of paid rental periods, except as provided in Section 5.2
4.3 Account Information
- You must provide accurate contact and billing information
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized access to your account
5. Service Availability
5.1 Uptime
- We maintain an average uptime of approximately 98.6% based on our operational history
- Scheduled maintenance will be performed as needed, with advance notice when possible
5.2 Service Interruptions and Compensation
In the event of unscheduled service interruptions, you will receive:
- A refund for the period of downtime, proportional to your rental period
- Additional compensation may be provided at our discretion based on the severity and duration of the interruption
- To request compensation, contact us at admin@chipverse.ai with details of the service interruption
6. Intellectual Property
All rights, title, and interest in our service infrastructure, hardware, and business operations remain our exclusive property. You may not reverse engineer, copy, or replicate our service infrastructure or business model.
7. Limitation of Liability
7.1 Service Provided "As Is"
- Services are provided on an "as is" and "as available" basis
- We make no warranties, express or implied, regarding service quality or suitability
7.2 Limited Liability
To the maximum extent permitted by law:
- We are not liable for any data loss, corruption, or deletion
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability shall not exceed the amount you paid for services in the preceding 3 months
7.3 Client Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
- Your use of the server
- Content you store or transmit
- Your violation of these terms or applicable laws
- Third-party claims related to your activities
8. Termination
8.1 Termination by You
- You may terminate service at any time by providing written notice
- No refunds for unused portions of paid periods
- You must back up your data before termination
8.2 Termination by Us
We reserve the right to suspend or terminate your service immediately if:
- You violate these Terms of Use
- You fail to make the required payments
- Your activities pose security risks or legal liability
- You engage in prohibited activities outlined in Section 3.3
8.3 Effect of Termination
- Upon termination, your access will be revoked
- All data will be permanently and securely wiped from the server hardware
- Data deletion is permanent and irreversible - you must backup any data you wish to retain before termination
- You remain liable for any outstanding payments
9. Modifications to Terms
- We reserve the right to modify these terms at any time
- Continued use of services after modifications constitutes acceptance
- Material changes will be communicated via email to your registered contact
10. Dispute Resolution
10.1 Governing Law
These terms shall be governed by the laws of the Arab Republic of Egypt. The courts of Cairo shall have exclusive jurisdiction over any disputes.
10.2 Resolution Process
- Disputes should first be raised with our support team
- If unresolved, parties agree to attempt mediation before litigation
11. General Provisions
11.1 Entire Agreement
These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and us.
11.2 Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
11.3 No Waiver
Our failure to enforce any provision does not constitute a waiver of that provision.
